Article 1 (Purpose)
These Terms of Service govern the relationship between influencers (hereinafter “Member” or “Influencer”) and WE‑AR Inc. (hereinafter “the Company”) regarding the use of the SimpleSeed for influencer app (the “Service”). This document outlines the rights, obligations, and responsibilities specific to influencers participating in affiliate marketing campaigns and, in the future, seeding campaigns. It covers campaign participation, settlement and payment, required documentation for settlement, confidentiality obligations, and tax liabilities on product provisions. All basic matters (such as membership registration, settlement/payment, and privacy protection) are governed by the Company’s general Terms of Service and Privacy Policy unless otherwise specified herein.
Article 1 (Purpose)
These Terms of Service govern the relationship between influencers (hereinafter “Member” or “Influencer”) and WE‑AR Inc. (hereinafter “the Company”) regarding the use of the SimpleSeed for influencer app (the “Service”). This document outlines the rights, obligations, and responsibilities specific to influencers participating in affiliate marketing campaigns and, in the future, seeding campaigns. It covers campaign participation, settlement and payment, required documentation for settlement, confidentiality obligations, and tax liabilities on product provisions. All basic matters (such as membership registration, settlement/payment, and privacy protection) are governed by the Company’s general Terms of Service and Privacy Policy unless otherwise specified herein.
Article 2 (Definitions)
For the purposes of these Terms, the following definitions apply:
Member (Influencer):An influencer who registers for and uses the SimpleSeed for influencer app to participate in campaigns and create content.
Brand:A client that runs advertising and marketing campaigns through the Platform and collaborates with influencers.
Campaign:A marketing activity registered on the Service by a Brand, in which an influencer participates by producing content and receiving revenue share, including both fixed fees and performance-based additional compensation.
Fixed Fee:The predetermined amount set by the Brand at the time of campaign registration for payment to influencers.
Performance-Based Additional Compensation:Additional rewards paid based on campaign performance. Such compensation is managed separately (e.g., as a “Special Campaign”) according to terms mutually agreed in advance.
Settlement:The process by which the revenue earned by an influencer (including both their own generated sales and an overall share of the campaign revenue) is calculated, aggregated, and paid. Payment is made within 30 days from the date the settlement request is received. To facilitate payment, influencers must submit all documents required by the Company; failure to submit the required documentation will result in an inability to withdraw cash.
Seeding Campaign:A form of campaign in which influencers, upon participation, receive products from the Brand for content creation and review. Any tax liabilities incurred upon receiving the product are the sole responsibility of the influencer.
SNS Account:Refers to the influencer’s Instagram and TikTok accounts, both of which must be linked to the Service. Should either account be deactivated, blocked, or otherwise compromised, the Company may restrict the influencer’s access to the Service.
Third Party:Refers to external entities, including Brands and logistics providers, with whom the Company collaborates. Influencer personal information (e.g., shipping address) may be shared with such third parties only with explicit consent and solely for campaign-related purposes.
Article 2 (Definitions)

Article 3 (Membership Registration and Basic Use)
Registration:Influencer registration is conducted through the online process provided by the Company. Influencers must provide accurate and truthful information during registration.
Screening:Registration is subject to a screening and approval process, the sole discretion of the Company. Applications that do not meet the Company’s criteria may be rejected.
General Use:All general matters concerning membership registration, settlement/payment, and personal data protection are governed by the Company’s general Terms of Service and Privacy Policy.
Article 3 (Membership Registration and Basic Use)
Registration:Influencer registration is conducted through the online process provided by the Company. Influencers must provide accurate and truthful information during registration.
Screening:Registration is subject to a screening and approval process, the sole discretion of the Company. Applications that do not meet the Company’s criteria may be rejected.
General Use:All general matters concerning membership registration, settlement/payment, and personal data protection are governed by the Company’s general Terms of Service and Privacy Policy.
Article 4 (Service Provision)
The Company provides the following exclusive functionalities to influencers:
Affiliate Campaign Participation:Influencers may participate in affiliate campaigns conducted by Brands and receive compensation based on both their own generated sales and an overall revenue share of the campaign.
Settlement and Payment: If an influencer submits a settlement request, the Company will use reasonable efforts to process and pay the Settlement Amount within 30 days from the date of receipt; however, the payment timeline may be extended at the Company’s sole discretion following internal review and assessment. Furthermore, if the influencer fails to submit all documents required by the Company within the specified deadline, the Company reserves the right to withhold payment of the Settlement Amount, and any delay resulting from such non-compliance shall not be deemed a breach of this Agreement by the Company.
Seeding Campaign Participation:In the future, influencers may have the opportunity to participate in seeding campaigns, in which they receive products from Brands and create content related to those products. In such cases, any tax incurred upon product provision is the responsibility of the influencer.
Dashboard and Performance Analytics:The Service provides a dedicated dashboard for influencers to manage their uploaded content and monitor campaign performance.
Article 4 (Service Provision)
The Company provides the following exclusive functionalities to influencers:

Creators agree to abide by the following obligations while using the Service:
Account Management: Creators must maintain the security of their account information and promptly update any necessary details (e.g., payment methods such as PayPal, shipping addresses) to ensure smooth settlement and commerce functions.
SNS Account Integration: Creators are required to link both their Instagram and TikTok accounts. If either account is deactivated, blocked, or otherwise compromised, the Company may restrict access to the Service.
Authentic Participation: Creators must engage in campaigns with genuine intent and produce authentic content. The submission of falsified or misleading content is strictly prohibited.
Confidentiality: Creators must keep all campaign-related conditions, terms, and any confidential information arising from agreements with Brands strictly confidential and must not disclose such details to any third party.
Prohibition on Defamation: Creators shall refrain from disparaging or defaming Brands during campaign participation. In the event of any disputes between a Creator and a Brand arising from defamatory content, the Company is not liable.
Compliance with Social Standards: Creators must not post content that is socially controversial or objectionable (including adult content or other material that may harm public sentiment). In such cases, the Company may impose service restrictions or terminate the membership without prior notice.
Article 5 (Obligations of Influencers)

Article 6 (Content and Intellectual Property)
Copyright of Content:The copyright of content created by the influencer remains with the influencer.
License Grant:By agreeing to these Terms, the influencer grants the Company a non‑exclusive, non‑transferable, royalty‑free license to use the content on the platform for purposes such as advertising, promotion, and service improvement.
Collaboration Data Usage:During collaborations with Brands, any personal information provided (e.g., shipping address) is used solely for campaign purposes and may be shared with relevant third parties in accordance with applicable data protection laws.
Article 6 (Content and Intellectual Property)
Copyright of Content:The copyright of content created by the influencer remains with the influencer.
License Grant:By agreeing to these Terms, the influencer grants the Company a non‑exclusive, non‑transferable, royalty‑free license to use the content on the platform for purposes such as advertising, promotion, and service improvement.
Collaboration Data Usage:During collaborations with Brands, any personal information provided (e.g., shipping address) is used solely for campaign purposes and may be shared with relevant third parties in accordance with applicable data protection laws.
Article 7 (Limitation of Liability and Dispute Resolution)
Content Responsibility:The Company does not pre-screen or guarantee the content produced by influencers. Any legal disputes or issues arising from the content are solely the responsibility of the influencer.
Settlement Issues:The Company shall not be liable for delays or errors in settlement payments resulting from external factors beyond its control (e.g., issues with external payment systems or network failures).
Breach of Obligations:If an influencer fails to submit the required documents for settlement or breaches confidentiality or other obligations, all resulting disputes and damages shall be the sole responsibility of the influencer.
Dispute Resolution:Disputes between the influencer and the Company shall first be resolved through mutual consultation. If a resolution is not reached, disputes shall be resolved in accordance with applicable laws.
Article 7 (Limitation of Liability and Dispute Resolution)

Article 8 (Miscellaneous Provisions)
Severability:If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Amendments:The Company reserves the right to modify these Terms at any time. Any modifications will be communicated via the Service’s notice channels or by email.
Governing Law and Jurisdiction:These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of the Republic of Korea.
Article 8 (Miscellaneous Provisions)
Severability:If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Amendments:The Company reserves the right to modify these Terms at any time. Any modifications will be communicated via the Service’s notice channels or by email.
Governing Law and Jurisdiction:These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of the Republic of Korea.
These SimpleSeed for influencer Terms of Service are effective as of February 25, 2024.
